I have Windows 2000 active/ passive cluster. I changed password for Cluster
service account on DC and then changed the password on log on to tab in
services mmc on one of the node ( passive). Now when I try to strat the
service, I get either access denied or error 1067: The process terminated
unexpectedly. I haven't changed the password on active node yet as it is
running my exchange server.
Do I need to change the password on both node same time?

Changing both is the best practice way to accomplish this task. When you get
to 2003 it can be done from the command prompt on both nodes at the same
time with a single line of code :)

Cheers,

Re-enter your passwords manually. Try and log in as the user to the desktop.
