All,

I just need clarification on peforming an in-place upgrade.

my understanding is that i need One LCS2003 server and One LCS2005 sitting
side by side. Then I run the command to move the MSDE data from LCS2003 to
LCS2005.???

or can i some how upgrade LCS2003 to LCS2005 using one server???

can someone kindly clarify this?

No, uninstall LCS2003 on the server, install LCS2005, then "move" the users
(which actually updates the database records to 2005 format in this case).

The technical document "Live Communications Server 2003 Upgrading and
Coexistence" gives you the exact steps and the order when to do what:
