I believe this is caused by 2003/XP using a more mathematically-speaking
secure method of encryption. Your good news for today is that you can set a
registry value to make it compatible. Your bad news is I can't remember
what it is! Shouldn't be too difficult to find though.

Hi All,
I encrypted a file using EFS in A server and follow the following
instruction to move to another server.
http://www.microsoft.com/windows2000/en/advanced/help/default.asp?url=/windows2000/en/advanced/help/encrypt_to_restore_diff_computer.htm
All steps (backup, restore, export cert, import cert) are successfully
done.
However, final output file is of garbage content.
Is there any setting I have missed? Please help.
Thank you very much!

Here is the KB article with the related settings but you first will need to
decrypt the files on a Windows 2003/XP Pro computer. The registry settings
just allows the W2003/XP Pro computer to encrypt files with the same weaker
method that W2K uses to allow decryption on a W2K computer where the user's
certificate AND private key [imported from a .pfx file] exists. --- Steve
