I'm in the process of preparing to move from Windows Server 2000/Exchange
5.5 to Windows Server 2003/Exchange Server 2003. All of my desktops are W2K.

As part of the process, I've been running some of the available utilities to
check the current health of AD. I've noticed a few FRS-related error
messages and have focused on resolving these.

This said, I've been running some of the simple tests like placing a empty
text file in the %systemroot%\sysvol\sysvol directory on each DC (I have
2)...upon doing this, nothing happens...however, when I place the same file
in the %systemroot%\sysvol\sysvol\<domain name>\scripts directory, each file
appears in the same directory on the other machine...

Now, with the above in mind, next test:

When I run dcdiag.exe /e /test:frssysvol on both DC's, everything looks fine
except for this cryptic message:

"Error: No record of File Replication System, SYSVOL started. The Active
Directory may be prevented from starting.

...............<server name> passed test frssysvol"

Error and passed in the same message--what gives?

So, is FRS working correctly or not? If 'No', what can I do to fix?

It sounds like your FRS SYSVOL replica set is working fine. The true test
is the 'canary' files you used to see if they arrived at the other domain
controller.

The FRSSYSVOL test in DCDIAG does checks against events. It will err if the
events are not found it wants to find, or bad events are found. It is a
good overview.

Without delving into a FRSDIAG or SONAR set of info, the best tests for your
SYSVOL replica set are the canaray files, determining if the SYSVOL and
NETLOGON shares are shared out, and checking your FRS event logs for obvious
problems.
