Cannot Add Web Reference to the Sharepoint Web Services |

Hi,
When i try to add reference to the sharepoint web services. i get the
following error
There was an error downloading 'http://<server>/_vti_bin/dws.asmx'.
The request failed with HTTP status 404: Not Found.
When i Use WSDL.exe to create proxy web service then i get the following error
The underlying connection was closed: Unable to connect to the remote server.
Is there anyway to solve this problem ? please help.
