Win2K to Win2K3 Migration

I have one Win2k server and I want to migrate to win2k3 server. I want to
stay in existing domain i just want to replace old win2k server with new
win2k3 server. I've just done adprep /forestprep and adprep /domainprep on
Win2k srvr successfully and just installed new box with win2k3 srvr .
Question is do I need to upgrade win2k box on win2k3 and then make new box
DC or not?
