See the Migration Pack.

....although I'm not sure if the SKUs are still available.
the alternative would be to Upgrade to SBS 2003 Premium and use the
transition Pack

You can check the information on my website at www.SBSmigration.com which
describes how the Swing It!! Kit gives you a complete project outline and
tools to guide you through this process. Among the advantages of Swing
Migration are that you can do the work offline, without taking down the
existing server until you are ready to do the swap out. The result of the
process is that you won't have to touch the workstations after the migration
other than to add any new applications you want. The replacement server will
be running the same AD, same server name, same IP, and if you are upgrading
the Exchange, you can mount the old Information Store as well.
