How To Flush the SMTP Mail Queue in Exchange Server 2003
http://support.microsoft.com/default.aspx?scid=kb;en-us;821901
What AV software are you using and have you set it to exclude the \Exchsrvr
folder?
Any other errors in the Event logs?

You might try stopping and then restarting the MS System Attendent in the
Services applet.
Another way to clear the queues may be by issuing an "iisreset" (without
quotes) from a command line. A little brutal, but I've used this a few
times when other things would work.
